Public offer for the agreement granting the right to use the FDAgent software and access to the FDAgentAi text generation service (effective from 20.09.2026)

1. General provisions

1.1. This document is a public offer (the "Offer") by Vitaly V. Usatov (the "Contractor") to any individual or legal entity (the "User") to conclude an agreement on the terms set out below.

1.2. Payment for the services under this Offer constitutes acceptance of the Offer. The Offer takes effect upon publication on fdagent.net and remains valid until withdrawn.

1.3. The Contractor applies the Russian self-employment tax regime (NPD), TIN 244803269303. No VAT is charged.

2. Terms

2.1. "Software" — the FDAgent desktop application distributed as an installation package.

2.2. "Website" — fdagent.net, used for ordering and license management.

2.3. "FDAgentAi service" — access to a text generation API billed in tokens.

2.4. "License key" — a unique character sequence identifying the User and granting access to the Software and the service.

2.5. "Tokens" — conditional units of data volume processed by the FDAgentAi service.

3. Subject of the agreement

3.1. For a fee, the Contractor shall provide: (a) a simple (non-exclusive) license to use the Software for the duration of the subscription; (b) access to the FDAgentAi service in the volume determined by the selected plan or token pack; (c) the right to receive Software updates during the subscription period.

3.2. The Software is delivered electronically as a download from the Website. The license key is shown in the User account after payment.

4. Plans, trial and payment

4.1. Current plans, prices and token pack details are listed on the Website: the free Free plan, Lite and PRO subscriptions (monthly token refresh) and one-time token packs. Registration is free and requires no card.

4.2. Payment is made via Robokassa or Prodamus (Russian version of the Website) or Lava.top (English version). The payment is confirmed by the respective payment provider.

4.3. Subscriptions are billed monthly or upfront for 12 months at a discount (the annual discount rate is shown on the Website); no three-month term is offered. Renewal is performed by a new payment; no automatic charges are made.

4.4. Token packs are a one-time top-up of the token balance; their validity follows the description on the Website.

4.5. After payment confirmation, the Contractor sends the User an electronic receipt to the email address specified at registration, in accordance with the applicable tax legislation.

5. Activation and license restrictions

5.1. The license is bound to the User account and allows use of the Software on no more than 3 devices simultaneously.

5.2. The User must not: reproduce or distribute the Software or the license key; transfer the key to third parties; decompile or modify the Software except where expressly permitted by law; use the Software or the service for any unlawful activity.

6. Refunds

6.1. The digital goods (license and tokens) are refundable in the following cases: (a) within 14 calendar days of payment, if the license key has not been activated and no tokens have been spent — a full refund; (b) if access to the Software or the service is technically impossible due to the fault of the Contractor and is not restored within 10 business days of the request — a full refund; (c) if tokens have been partially spent, the refund is reduced by the cost of the services actually rendered.

6.2. Refund requests are sent to support@fdagent.net and must include the account email address and the payment date. Processing takes up to 10 business days. Refunds are issued using the same payment method used for the purchase.

7. Personal data

7.1. Personal data is processed in accordance with the Privacy Policy, which is an integral part of the agreement.

8. Liability

8.1. The Software is provided "as is". The Contractor does not guarantee uninterrupted operation of the FDAgentAi service, which depends on third-party model providers, and is not liable for lost profits or indirect damages.

8.2. The total liability of the Contractor under this agreement is limited to the amount of the last payment made by the User.

9. Amendments and termination

9.1. The Contractor may amend this Offer by publishing a new version on the Website. The version effective at the moment of payment applies to the paid period.

9.2. The User may terminate the agreement at any time by ceasing to use the Software and the service; refunds are governed by section 6.
